Project/Plan of Finance Details/Notes:  The Authority will hold a public hearing at its office (address above) on February 19, 2025, at 10:30 a.m., regarding the proposed issuance by the Authority of its revenue bonds as tax-exempt qualified 501(c)(3) bonds as defined in Section 145 of the Internal Revenue Code of 1986, in an aggregate principal amount not to exceed $30,000,000 (the “Bonds”) for the purpose of providing funds to make a loan to the Borrower, a Missouri nonprofit corporation to (a) reimburse the Borrower for or pay the costs of certain educational facilities and related capital expenditures of the Borrower located on the Borrower’s campus at 650 Maryville Drive, St. Louis, Missouri 63141 and which is bounded by Conway Rd. to the north, Maryville Centre Drive to the east, N. Outer Forty Rd. to the south and Hwy 141 to the west; (b) refinance the Authority’s outstanding Educational Facilities Revenue Bonds (Maryville University of Saint Louis Project), Series 2015 (the “Series 2015 Bonds”); (c) fund bond related reserves, if any, and (d) pay the costs of issuance of the Bonds. The proceeds of the Series 2015 Bonds were used to (a) finance and reimburse the Borrower the costs of capital projects on and improvements to the Borrower’s facilities, including the construction, furnishing and equipping of a new residence hall on the Borrower’s campus; (b) fund a debt service reserve fund for the Series 2015 Bonds; and (c) pay the costs of issuance of the Series 2015 Bonds. The facilities to be financed with the proceeds of the Bonds are owned by the Borrower and the Borrower will agree to make loan payments sufficient to pay principal and interest and redemption premium, if any, on the Bonds as the same fall due.

Borrower: BJC Health System, a nonprofit corporation organized under the laws of the State of Missouri (the “Borrower”) 

Project/Plan of Finance Details/Notes:  The Authority will hold a public hearing at its office (address above) and participants may join via telephone (telephone number above) on February 19, 2025 at 10:00 A.M. regarding a plan of finance to issue one or more series of tax-exempt qualified 501(c)(3) health facilities revenue bonds, notes or commercial paper in an aggregate principal amount not to exceed $915,000,000 (the “Obligations”) for the benefit of the Borrower and its affiliates, the proceeds of which are expected to be used for the following purposes:

  • Refund $164,495,000 outstanding principal amount of Health Facilities Revenue Bonds (BJC Health System) Series 2014, the proceeds of which were used to finance, refinance, and reimburse the costs of certain health care facilities and furnishings, software and equipment for health care facilities including the following: (a) approximately $6,735,000 at the Alton Memorial Hospital Campus; (b) approximately $555,000 at Barnes-Jewish West County Hospital; (c) approximately $490,000 at Barnes-Jewish Hospital – South County Campus; (d) approximately $140,120,000 at Kingshighway Campus; (e) approximately $3,305,000 at Christian Hospital Campuses; (f) approximately $3,505,000 at Missouri Baptist Medical Center; and (g) approximately $58,345,000 for BJC Corporate Health Services and equipment for the health facilities listed below. 
  • Refund $150,000,000 outstanding principal amount of Health Facilities Revenue Bonds (BJC Health System), Series 2015A, the proceeds of which were used to finance, refinance and reimburse the costs of certain health care facilities and furnishings, software and equipment for health care facilities including the following: (a) approximately $1,500,000 at Barnes-Jewish West County Hospital; (b) approximately $14,000,000 at Barnes-Jewish Hospital – South County Campus; (c) approximately $90,000,000 at Kingshighway Campus; (d) approximately $2,500,000 at Missouri Baptist Medical Center; and (e) approximately $42,000,000 for BJC HealthCare and equipment for the health facilities listed below.
  • Finance, refinance and reimburse all or a portion of the costs for the acquisition, construction, renovation and improvement of health care facilities and the purchase of equipment, furnishings and software for the Borrower and its affiliates health care facilities including the following: (a) $625,000,000 for capital projects to be located at or near Barnes-Jewish Hospital, including the continuation of Phase 3 and Phase 4 of the campus renewal, and other capital projects at or near St. Louis Children’s Hospital and throughout the Kingshighway Campus; (b) $76,000,000 for capital projects, including but not limited to a virtual care command center and other information technology projects, to be used throughout the hospital system and primarily operated out of BJC HealthCare; (c) $13,000,000 for capital projects to be located at or near Barnes-Jewish West County Hospital; (d) $8,000,000 for capital projects to be located at or near Barnes-Jewish Hospital – South County Campus; (e) $30,000,000 for capital projects to be located at or near Missouri Baptist Medical Center; (f) $8,000,000 for capital projects to be located at or near Missouri Baptist Sullivan Hospital; (g) $22,000,000 for capital projects to be located at or near Barnes-Jewish St. Peters Hospital; (h) $19,000,000 for capital projects to be located at or near Christian Hospital Campuses; (i) $5,000,000 for capital projects to be located at or near Alton Memorial Hospital Campus; (j) $5,000,000 for capital projects to be located at or near Memorial Hospital – Belleville Campus; (k) $10,000,000 for capital projects to be located at or near Memorial Hospital – Shiloh Campus; (l) $3,000,000 for capital projects to be located at or near Parkland Health Center Campuses; (m) $2,000,000 for capital projects to be located at or near Progress West Hospital; (n) $17,000,000 for acquisition and capital project to be located at 161 South Trudeau in St. Louis, MO, and (o) $7,000,000 of estimated costs for system wide capital projects to be located at the locations and Other Missouri Facility Locations described below.

Description of Locations:

Alton Memorial Hospital Campus – principal address of One Memorial Drive in Alton, Illinois (generally bounded by College Ave. on the north, Rock Springs Dr. on the east, Brown St. on the South and Central Ave. on the west).

Barnes-Jewish Hospital – South County Campus – principal addresses of 5225 and 5201 Midamerica Plaza in St. Louis, Missouri.

Barnes-Jewish West County Hospital – principal address of 12634 Olive Blvd. in St. Louis, Missouri (generally bounded by Olive Blvd. on the north, Barnes W. Dr. on the east, Hope Montessori Academy-Creve Coeur with an address of 900 N. Mason Rd. on the south, and Executive Pkwy Dr. on the west).

Barnes-Jewish Hospital and St. Louis Children’s Hospital Campuses (collectively, the “Kingshighway Campus”) principal addresses of 425 S. Euclid Ave. and One Children’s Place in St. Louis, Missouri and other capital projects on the Barnes-Jewish Hospital and St. Louis Children’s Hospital campuses (bounded by Laclede Ave. on the north, S. Sarah St. on the east, Clayton Ave. on the south, and S. Kingshighway Blvd. on the west).

BJC Corporate Health Services – 8300 Eager Road and 5000 Manchester Ave. in St. Louis, Missouri.

All of the projects to be financed, refinanced or reimbursed with proceeds of the Obligations will be owned and operated by the Borrower and its affiliates.  The Borrower, at its discretion, may allocate up to the entire maximum principal amount of proceeds of the Obligations to finance, refinance or reimburse all, a part, or none, of any of the above-described capital projects at each of such locations described.

Borrower: Lindenwood Education System, a nonprofit corporation organized under the laws of the State of Missouri and an organization described in Section 501(c)(3) of the Code (the “Borrower”) 

Project/Plan of Finance Details/Notes:  The Authority will hold a public hearing at its office (address above) and participants may join via telephone (telephone number above) on February 26, 2025 at 10:00 A.M. regarding a plan of finance for the proposed issuance by the Public Finance Authority (the “Issuer”), a governmental entity of the State of Wisconsin, of its Educational Facilities Revenue Bonds (Lindenwood Education System), in one or more issues (collectively, the “Bonds”), in a principal amount not to exceed $175,000,000, in one or more tax‑exempt and/or taxable series.

The Bonds are expected to be issued by the Issuer pursuant to Section 66.0304 of the Wisconsin Statutes, as amended, and the proceeds from the sale of the Bonds will be loaned to the Borrower. The Bonds are expected to be qualified 501(c)(3) bonds, as defined in Section 145 of the Code, and the proceeds of the Bonds will be applied along with other available funds, for the following purposes: (a) to finance, refinance, or reimburse all or a portion of the costs of the acquisition of the acquired assets from STVT-AAI Education Inc., (b) to acquire, construct, renovate and make improvements and purchase equipment and furnishings for the Borrower’s educational and student facilities at the Lindenwood University campus in St. Charles, Missouri (the “Missouri Assets”); (c) to fund interest on the Bonds and pay certain start-up working capital costs of the Borrower; (d) to refinance all or a portion of the Borrower’s existing outstanding tax-exempt debt, and (e) to finance costs of issuance of the Bonds (collectively, the “Project”).

The Missouri Assets relate to, benefit, or are otherwise to be used for educational and student services for the Borrower at its Lindenwood University campus with a primary address of 209 S. Kingshighway St. in St. Charles, MO, which is generally bound by S. Duchesne Dr. on the north, Sibley St. on the east, 1st Capitol Dr. on the south, and Droste Rd. on the west.  The maximum stated principal amount of the Bonds expected to be issued for the Missouri Assets is $15,000,000. However, the Borrower, at its discretion, may allocate this entire principal amount of Bond proceeds to finance all, a part, or none of the Missouri Assets. The Project, including all the Missouri Assets, will be owned, operated and/or managed by the Borrower, Lindenwood University, LLC and/or one of the Borrower’s other affiliates.

THE BONDS WILL NOT CONSTITUTE AN OBLIGATION OF THE AUTHORITY, THE STATE OF THE MISSOURI OR ANY OTHER AGENCY OR POLITICAL SUBDIVISION THEREOF. The Bonds will be special, limited obligations of the Issuer payable solely from the loan payments to be made by the Borrower to the Issuer, and certain funds and accounts established under the bond indenture(s) for the Bonds.
