Project/Plan of Finance Details/Notes: The Authority will hold a public hearing at its office (address above) on December 3, 2024 at 10:00 A.M., regarding a plan of finance including the proposed issuance by the Authority, in one or more series, contemporaneously or on different dates, of qualified 501(c)(3) revenue bonds in a maximum aggregate stated principal amount of $70 million (the “Bonds”) to make a loan to the Borrower, a Missouri legislatively chartered corporation, for the purposes of providing funds to finance or refinance certain health facilities and related capital expenditures of the Borrower and its affiliates, including among others Lutheran Senior Services East (“LSSE”, formerly named Diakon Lutheran Social Ministries), and to finance reserves, capitalized and funded interest and issuance expenses, including, without limiting the foregoing, (i) to refinance facilities relating to all or any portion of the $52,840,000 outstanding principal amount Cumberland County Municipal Authority Revenue Bonds, Series of 2015 (Diakon Lutheran Social Ministries Project), previously issued for the benefit of LSSE for communities owned by LSSE in Pennsylvania, the locations of which are further described below, and (ii) to finance, refinance or reimburse facilities at the following senior living communities owned or to be owned by the Borrower or its affiliates (up to $70 million of Bonds proceeds). The communities below are described by reference to their principal addresses and/or northern (N), eastern (E), southern (S) and western (W) boundary streets or geographic boundaries. The Borrower at its discretion, may allocate up to the entire maximum principal amount of proceeds of the Bonds and/or Borrower equity to finance or refinance all, a part, or none, of each portion of the facilities at the various locations.
